    • Extensive experience representing junior, intermediate and senior energy, financial and pension corporations in hundreds of acquisition, divestiture and swap transactions
    • Lead counsel to numerous Canadian oil and gas companies on the negotiation and drafting of various agreements relating to Canadian and international acquisition, divestiture, construction, private debt financing, reorganizations, public share issues and other energy matters
    • Counsel to entities in connection with structuring and conclusion of oil and gas carve-out transactions
    • Negotiation and conclusion of sale/leaseback arrangements on gas processing and transportation facilities
  • Capital Markets
    • Advising on flow-through share issues, exchange offering prospectus, joint venture agreements and limited partnership agreements 
    • Lead counsel to junior oil and gas producers in connection with issues of flow-through shares, preferred shares and common shares
  • Project Finance
    • Counsel to various Canadian chartered banks on structuring, reviewing and drafting of documentation for hydrocarbon trust; Northumberland Straight Crossing (New Brunswick/P.E.I.) project financing; and other project agreements
