Advising TransAlta Corporation in the sale of Pioneer Pipeline

The successful sale of Pioneer Pipeline by TransAlta and its partner, Tidewater Midstream & Infrastructure Ltd., to ATCO Gas and Pipelines Ltd. for $255 million.
BD&P’s role
Our multidisciplinary team’s work included the preparation, drafting, and negotiation of:
- An Asset Purchaser and Sale Agreement with Nova Gas Transmission Ltd. and the assignment to ATCO.
- All key supporting agreements, including long-term gas transportation agreements for new and existing transportation services.
We also assisted with regulatory approvals, including competition and CER.
The results
The transaction allowed TransAlta to reach an important milestone in achieving its off-coal transition strategy.
